Conflict of Interest & Confidentiality Policy

Texas Women’s Foundation benefits and encourages participation by members of its board of trustees and committee volunteers in community organizations and activities. While there is no legal impediment to allowing such members who also serve as officers or consultants to another philanthropic organization to vote upon grants to that organization, the Foundation wishes to avoid even the appearance of conflict of interest so that the practices of the Foundation can stand the close scrutiny of any individual wishing to question its independence. The Foundation therefore adopts the following Grant Distribution Policy on Conflict of Interest and Confidentiality which will apply to the board of trustees and to members of all Grants and Financial Review Committees:

  1. Trustees and members of Grants and/or Financial Review Committees shall provide the Foundation with a list of all positions held in nonprofit organizations being reviewed, and shall update the list as new appointments are accepted.
  2. Conflict of interest is understood to exist if a Trustee or a member of the Grants or Financial Review Committee, or a member of their immediate family, is involved with an applicant project / organization in any of the following capacities (whether paid or volunteer):
      a. Governing board
      b. Staff
      c. Policy making or advisory board
      d. Consultant
  3. Grants and Financial Review Committee members are encouraged to disclose any other personal or professional association with applicants prior to assignment.
  4. Grants and Financial Review Committee members who declare such involvement will not be assigned to review, interview, or vote on the request for funding form that particular organization.
  5. Trustees, Grants Review, or Financial Review Committee members having a conflict of interest with an applicant will remove themselves from discussion and from all involvement in the decision making process as it relates to that particular organization.
  6. All Information received is confidential and only to be used for the purpose of this grant review process. It reflects this point in time of the organization.
  7. Grants and Financial Review Committee members should not share or discuss this information outside the grant review committee.
  8. Grants and FinancialReview Committee members must return all flash drives and paper copies of grant related materials to Texas Women’s Foundation on voting day.
  9. I am committed to Texas Women’s Foundation’s goal to establish and maintain the highest level of public confidence in its accountability. I have fully read, understand and agree to abide by the Conflict of Interest & Confidentiality Policy standards set forth by the Texas Women’s Foundation.

    Described in the form below, are Affiliations, as defined in Section II of this Policy, that I have which could contribute to a conflict of interest between Texas Women’s Foundation and my own personal interests, financial or otherwise. (Please specify the name of the Affiliate as well as your Affiliation with it).
